What a board secretary is up against
The pack went out on WhatsApp
The secretary sends the pack the night before. A director asks for a missing appendix, so a second file goes out. Then a third. Nobody can say which one is the pack.
A minute nobody can prove
The minute lives in a Word file. Someone opened the file after the sitting and pressed save. Nobody can show which version the chair approved.
The resolution is in a ring binder
The board numbers its resolutions by hand. Number 16 went round by email and was never filed. The auditor sees the gap before anyone can explain it.
Three years later, the regulator asks
A letter arrives from the Central Bank of Somalia. Its inspectors want one sitting from three years ago. The secretary has changed. The laptop has changed. The chat has been cleared.
